Terms of Service

1. Who we are and what these terms cover

Rushilo is sold and provided by PAVADO TECHNOLOGIES INC ("we", "us"). These Terms of Service ("Terms") are a binding agreement between you and us. They cover the website at https://rushilo.com, your Rushilo account, your purchase of a Rushilo licence, and the Rushilo desktop application for Mac and Windows (together, the "Service").

By creating an account, buying a licence, or downloading or using Rushilo, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service for a business, you agree on its behalf and confirm you have the authority to do so. You must be at least 18, or the age of majority where you live.

2. Your account

• Give accurate information and keep your email address current. We send licences, receipts and account notices to it.
• Keep your password and sign-in methods secure. You are responsible for activity under your account.
• Tell us promptly at the contact address below if you think your account has been compromised.

3. The licence you buy

When you pay the one-time price shown at checkout, we grant you a personal, perpetual, non-exclusive, non-transferable, non-sublicensable licence to install and use the version of Rushilo available to you, and updates we choose to release, on up to 3 computers you own or control at a time. You may free a computer slot from your account and use it on another computer.

You may not, and may not let anyone else:

• share, resell, rent, lend or transfer your licence or account, or use one licence for more people than it covers;
• copy, modify, reverse engineer, decompile or disassemble Rushilo, except to the extent the law expressly allows despite this restriction;
• remove, bypass or interfere with licence checks, activation limits or other protections;
• use the Service unlawfully, to infringe anyone's rights, or to harm the Service or other people.

Rushilo is licensed, not sold. We and our licensors keep all rights not expressly granted to you. The licence ends automatically if you materially breach these Terms.

4. Price, payment and no refunds

The price is a one-time payment, in the currency shown at checkout, plus any taxes that apply. Payments are processed by Stripe. We never see or store your full card details.

All sales are final. Because Rushilo is digital content delivered immediately, we do not offer refunds, returns or exchanges once your purchase is complete, except where the law where you live requires one and cannot be waived.

At checkout you are asked to confirm that you agree to these Terms, that you request immediate access to Rushilo, and that you acknowledge you lose any statutory right to cancel or withdraw once access is provided. For consumers in the European Union, the United Kingdom and other places with such a right, this is your express consent to immediate performance and your acknowledgement that the right is lost.

Please try Rushilo's requirements before you buy: you need a supported Mac or Windows computer and your own AI tool or API keys (see section 5). If something does not work, contact us first at support@team.rushilo.com; we will help you get set up. If you file a chargeback or payment dispute instead of contacting us, we may suspend your account and deactivate your licence while it is reviewed, and we will provide the dispute evidence (including your acceptance of these Terms, your download and your activations) to the payment processor.

5. Your AI tools and keys

Rushilo does not include an AI model. It works with AI tools and services you choose and pay for yourself, such as Claude Code, Codex, Cursor, Claude Desktop, or your own API keys with providers like OpenAI, Google, Groq or ElevenLabs. Your use of those tools is governed by their own terms and pricing, which are between you and that provider. We are not responsible for their availability, cost, output or changes. Your keys are stored in your computer's secure keychain and are not sent to us.

6. Your content

Your projects, footage, images, audio and other files ("Your Content") stay on your computer. We do not receive, store or claim any rights to Your Content. When you ask an AI tool to work on Your Content, it goes to that provider under its terms, not to us. You are responsible for having the rights to Your Content and for keeping your own backups.

7. Updates and changes

We may release updates that fix, improve or change Rushilo, and the app can install them for you. We may also change or discontinue features of the website or the Service. If we ever stop offering Rushilo, the version you have keeps working under your licence on your activated computers.

8. Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that it will be uninterrupted or error-free. AI output can be wrong; review every edit before you publish it.

9. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us for Rushilo in the 12 months before the claim. Some places do not allow these limits, so they may not apply to you in full.

10. Indemnity

You agree to indemnify us against claims, losses and costs (including reasonable legal fees) arising from Your Content or your breach of these Terms.

11. Suspension and termination

You can stop using Rushilo and ask us to delete your account at any time. We may suspend or end your access if you materially breach these Terms, misuse the Service, or as required by law. Sections 3 (restrictions), 4, 8, 9, 10, 12 and 13 survive termination.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada that apply there, without regard to conflict of laws rules. You and we agree to the exclusive jurisdiction of the courts located in Toronto, Ontario, except where the law where you live gives you the right to bring a claim in your local courts. Before starting any formal claim, please contact us at support@team.rushilo.com so we can try to resolve it.

13. General

• We may update these Terms. We will post the new version here with a new effective date and, for material changes, tell you by email or in the app. Continuing to use the Service after a change means you accept it.
• If any part of these Terms is unenforceable, the rest stays in effect.
• You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets.
• These Terms and the Privacy Policy are the entire agreement between you and us about the Service.
• Nothing in these Terms limits rights you have under consumer protection laws that cannot be waived.
